1. Agreement to Terms

These Terms of Service (“Terms”) constitute a binding legal agreement between you (“you”, “your”, or “User”) and SciQua, a trading community and data analytics platform operated by its founder in North Carolina, United States (“SciQua”, “we”, “us”, or “our”). These Terms govern your access to and use of SciQua’s website, software, community forums, educational resources, financial indicators, market commentary, and any other products or services we provide (collectively, the “Services”).

By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

These Terms include important provisions such as disclaimers of warranties, limitations of liability, a binding arbitration clause, and a class action waiver.

2. Eligibility and Access

2.1 Minimum Age Requirement

You must be at least 18 years old or the age of majority in your jurisdiction (whichever is greater) to access or use the Services. By using the Services, you represent and warrant that you meet this requirement and have the full legal capacity and authority to enter into these Terms.

2.2 Legal Restrictions

You may not use the Services if:

  • You are a person barred from receiving services under the laws of any applicable jurisdiction, including export control or sanctions laws;

  • You are located in a country or territory subject to U.S. embargo or designated by the U.S. government as a “terrorist supporting” country;

  • Your access would violate any applicable laws or regulations, including securities, derivatives, or investment-related laws.

2.3 Account Registration

To access certain Services, including private community content, market indicators, and premium educational materials, you must create an account. When you register:

  • You agree to provide accurate, complete, and current information;

  • You are responsible for maintaining the confidentiality of your account credentials;

  • You are solely responsible for all activities that occur under your account, whether authorized or not;

  • You must promptly notify us of any unauthorized use or suspected security breach.

SciQua reserves the right to suspend, restrict, or terminate access to your account at any time if we believe you have violated these Terms, engaged in suspicious activity, or harmed the integrity or safety of the community or platform.


3. Services and Subscriptions

3.1 Scope of Services

SciQua provides a suite of tools, resources, and content designed to support strategy development, trading education, data analytics, and financial research. Our Services currently include:

  • Access to public and private community discussions

  • Educational resources and research articles

  • Weekly market updates and live-streamed commentary

  • Proprietary technical indicators (e.g., via TradingView)

  • Strategy development assistance and tutorials

  • Simulated backtesting environments and advanced visualizations (in development)

  • Future access to APIs, broker integrations, and live execution support (planned)

We may update, enhance, limit, suspend, or discontinue any Service or feature at any time, without liability or notice.

3.2 Subscription Tiers

SciQua offers both free and paid subscription tiers:

  • Free Accounts may include limited access to community discussions, select educational content, and public indicators.

  • Paid Subscriptions grant access to premium indicators, private live streams, gated community channels, advanced tools, and early access to future platform features.

Details regarding current subscription levels, pricing, features, and access limits are provided on our website or user dashboard. All fees are stated in U.S. dollars unless otherwise specified.

3.3 Changes to Subscriptions

We reserve the right to revise pricing, feature sets, or availability of any subscription tier. Changes to recurring fees or access will be communicated to affected users with reasonable notice. Continued use after any change constitutes acceptance of the revised terms.

3.4 No Investment Advice

The Services, including but not limited to indicators, simulations, commentary, and community discussions, are provided solely for informational and educational purposes and do not constitute investment advice, trading advice, or recommendations. SciQua is not a registered investment adviser, broker-dealer, or futures commission merchant.

You acknowledge that all trading carries risk, and you are solely responsible for your own investment decisions and outcomes.


4. User Conduct and Community Guidelines

To maintain a respectful and productive environment for all users, you agree to abide by the following rules whenever accessing or interacting with any part of the Services, including public or private community channels, chatrooms, or any feature that allows user input or submission.

4.1 Prohibited Conduct

You agree not to, directly or indirectly:

  • Harass, threaten, abuse, defame, or intimidate other users or SciQua staff;

  • Post or share content that is obscene, hateful, discriminatory, illegal, misleading, or otherwise inappropriate;

  • Promote or distribute spam, pyramid schemes, affiliate links, or malicious content;

  • Use the Services for any purpose that is unlawful or prohibited by these Terms;

  • Interfere with, disrupt, or attempt to gain unauthorized access to any part of the Platform, servers, user accounts, or connected networks;

  • Use bots, scripts, scrapers, or automated tools to access or manipulate the Platform without prior written authorization;

  • Post or distribute software, tools, or strategies intended to exploit vulnerabilities or circumvent restrictions in financial markets or SciQua’s systems;

  • Impersonate any individual or entity or misrepresent your affiliation with any person or entity.

4.2 Respectful Community Participation

You are expected to:

  • Contribute constructively and respectfully to discussions and collaborative activities;

  • Use appropriate channels for content (e.g., posting strategy questions in designated areas);

  • Report suspected abuse or violations of these Terms to SciQua moderators or support.

4.3 Moderation and Enforcement

SciQua reserves the right, in its sole discretion, to:

  • Remove or edit user content that violates these Terms;

  • Restrict access to community channels or features;

  • Issue warnings, temporary suspensions, or permanent bans;

  • Terminate or suspend your account without refund if you engage in severe or repeated violations.

We are not responsible for the actions or content of other users but will take reasonable steps to address violations reported through proper channels.


5. User Content and Intellectual Property

5.1 Ownership of User Content

As a user, you may contribute content to the Services including, but not limited to: posts, comments, strategies, indicators, trading models, scripts, feedback, questions, and data (“User Content”).

You retain ownership of your User Content, subject to the license granted below.

5.2 License Grant to SciQua

By submitting, posting, uploading, or sharing any User Content via the Services, you hereby grant SciQua a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, host, store, copy, reproduce, distribute, publish, modify, create derivative works from, publicly perform, publicly display, and otherwise utilize your User Content solely for:

  • Operating and improving the Services;

  • Promoting and showcasing the Platform (e.g., in educational materials, product showcases, or strategy libraries);

  • Facilitating collaboration, feedback, or reviews within the community.

This license survives even if you delete your account, solely to the extent SciQua needs to retain archived discussions or use anonymized performance data as part of platform development.

We will not sell or commercially exploit your User Content outside of these defined purposes without your explicit consent.

5.3 Attribution and Strategy Sharing

If you choose to share trading strategies, indicators, or research through SciQua’s community features or libraries, you may include a license notice and attribution terms. You must not claim ownership of content you did not create, and you must credit the original author where required.

SciQua reserves the right to standardize or curate community-contributed strategies for performance testing, categorization, or promotion, provided attribution is maintained where applicable.

5.4 Prohibited Content

You may not post or upload content that:

  • Infringes any third-party copyright, trademark, or intellectual property rights;

  • Violates applicable law, contractual restrictions, or fiduciary obligations;

  • Contains malicious code, or data intended to cause disruption or harm;

  • Includes personally identifiable information without consent.

We reserve the right to remove or restrict any User Content at our discretion.

5.5 Intellectual Property of SciQua

All content, software, visualizations, indicators, simulations, models, documentation, and other materials provided by SciQua (collectively, “SciQua Content”) are owned by or licensed to us and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use SciQua Content solely for your personal, non-commercial use and in accordance with these Terms.

You may not reproduce, modify, sell, distribute, reverse-engineer, or create derivative works from any SciQua Content without our prior written consent.


6. Payments, Billing, and Refunds

6.1 Payment Processing

All payments for subscriptions, services, or other purchases on the SciQua platform are processed securely via Stripe, a third-party payment processor. By providing payment information, you authorize Stripe to charge your chosen payment method in accordance with the applicable billing terms.

We do not store or have access to your full payment details. Stripe’s processing of your payment is governed by its own terms and privacy policy, available at https://stripe.com.

6.2 Subscription Billing

SciQua offers recurring subscription plans that grant Users access to premium services and features. By subscribing, you agree to:

  • Pay all applicable fees for the selected plan, inclusive of any taxes or transaction charges;

  • Allow us (via Stripe) to automatically charge your payment method at the beginning of each billing cycle (e.g., monthly or annually, as selected during purchase);

  • Update your payment information promptly if your payment method changes or is declined.

Subscriptions automatically renew at the end of each billing period unless you cancel your subscription before the renewal date.

6.3 Free Trials and Upgrades

We may offer free trials or limited-time promotional access to certain features or plans. Upon the conclusion of a trial, your account may be automatically converted to a paid plan unless canceled before the trial ends.

Upgrading your plan may result in a prorated charge or immediate fee adjustment depending on the change.

6.4 Cancellations and Refunds

You may cancel your subscription at any time through your account dashboard. Cancellations prevent future charges but do not automatically entitle you to a refund for amounts already paid.

Refunds are handled on a case-by-case basis and granted solely at SciQua’s discretion unless required by law. Generally, we do not offer refunds for:

  • Partially used billing periods

  • Failure to cancel before the renewal date

  • Dissatisfaction with strategy performance or outcomes

If you believe a charge was made in error, please contact support within 14 days of the transaction.

6.5 Failed Payments and Suspension

If a payment is declined or cannot be processed, we may:

  • Retry the payment method multiple times over a short period;

  • Notify you via email to update your billing details;

  • Suspend or downgrade your access until payment is successfully completed.

We are not liable for any disruption of access or data loss due to billing issues.


7. Risk Disclosure and No Investment Advice

7.1 Informational and Educational Purposes Only

All Services provided by SciQua, including indicators, strategies, simulations, backtesting results, visualizations, and community discussions, are offered solely for informational and educational purposes. No content or tool provided through the Platform constitutes investment, legal, tax, accounting, or financial advice.

You agree that any strategies, signals, or commentary provided:

  • Are not tailored to your individual financial situation;

  • Should not be interpreted as personalized investment recommendations;

  • Do not constitute an offer to buy, sell, or hold any security, derivative, or other financial product.

7.2 No Fiduciary Relationship

SciQua is not a registered investment advisor, broker-dealer, commodity trading advisor, or futures commission merchant. We do not act as a fiduciary or provide advice based on the specific investment objectives or needs of any individual or entity.

Your use of our Services does not create any advisory, client, fiduciary, or professional relationship.

7.3 High-Risk Investment Disclosure

Trading securities, futures, options, crypto-assets, and other financial instruments involves substantial risk and is not suitable for all investors. You acknowledge and agree that:

  • You may sustain a total loss of your investment capital;

  • Past performance, whether actual or simulated, does not guarantee future results;

  • Simulated or backtested performance results may differ significantly from real-world results due to factors such as market impact, slippage, liquidity, execution speed, and psychological elements;

  • SciQua makes no guarantees regarding the accuracy, completeness, reliability, profitability, or effectiveness of any signal, model, strategy, or tool offered through the Platform.

You are solely responsible for evaluating the risks and consequences of using any information or tool available through SciQua before making any trading or investment decisions.

7.4 Third-Party Services and Brokers

In the future, the Platform may integrate with or provide access to third-party brokerages or execution platforms. SciQua does not control and is not responsible for the policies, services, execution quality, or outcomes resulting from the use of such third-party services.

You agree that SciQua shall not be liable for any loss or damage arising from your use of or reliance on any broker, execution platform, or data provider.


8. Simulated Performance Disclaimer

Any performance results presented by SciQua, including but not limited to backtests, optimizations, strategy rankings, or simulations, are hypothetical in nature and do not represent actual trading.

You acknowledge and agree that:

  • Simulated performance is based on historical data and assumptions that may not reflect future market conditions or execution constraints;

  • Hypothetical results are often prepared with the benefit of hindsight and may not account for real-world factors such as latency, slippage, emotional discipline, fees, partial fills, capital constraints, and market impact;

  • No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.

Past performance — whether live, simulated, or theoretical — is not indicative of future results.
All backtest and simulation tools are provided “as-is” with no guarantee of predictive value or accuracy.

You are solely responsible for validating strategies using your own risk assessments before implementing them in any live environment.


9. Disclaimers of Warranty

You expressly understand and agree that your use of the Services is at your sole risk. The Services, including all content, tools, indicators, data, models, and simulations, are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied.

9.1 No Warranty of Accuracy or Performance

We make no guarantees regarding:

  • The accuracy, timeliness, reliability, completeness, or usefulness of any data, signal, strategy, or other content;

  • The effectiveness or profitability of any model, system, or trading strategy;

  • The availability or performance of any simulation, backtest, dashboard, or visualization.

SciQua may modify, suspend, or remove parts of the Platform at any time without notice or liability.

9.2 No Warranty of Uptime or Availability

We do not warrant that:

  • The Services will be uninterrupted, secure, timely, or error-free;

  • Any bugs, errors, or defects will be corrected;

  • The platform, website, or related software will be free from viruses or harmful components.

You are solely responsible for implementing appropriate security, backup, and disaster recovery measures.

9.3 Third-Party Data and Integrations

Where the Platform displays or relies upon third-party market data (e.g., price feeds, broker APIs, or charting libraries), SciQua is not responsible for the accuracy, timeliness, or availability of such data. Any reliance on third-party services is at your own risk.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, title, and non-infringement.


10. Limitation of Liability and Service Level Disclaimer

10.1 Limitation of Liability

To the fullest extent permitted by applicable law, SciQua, including its founders, officers, employees, affiliates, licensors, service providers, and contractors, shall not be liable for any direct, indirect, incidental, consequential, special, punitive, exemplary, or similar damages, including but not limited to:

  • Loss of profits, income, trading capital, or anticipated savings;

  • Loss of business, data, opportunities, or goodwill;

  • Trading losses, execution failures, or missed signals;

  • Platform downtime, latency, bugs, or data inaccuracies;

  • Use of or inability to use the Services;

  • Unauthorized access, corruption, or alteration of your transmissions or data;

  • Any decisions made or actions taken in reliance on the Services.

This exclusion applies regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise), and even if SciQua has been advised of the possibility of such damages.

To the fullest extent permitted by law, SciQua disclaims all liability. If, notwithstanding this disclaimer, any court or authority holds SciQua liable for any claim, you agree that the total cumulative liability of SciQua for all claims arising out of or relating to these Terms or the Services shall be limited to zero dollars (USD $0.00).
You acknowledge that this limitation reflects a fair allocation of risk and forms an essential basis of the bargain between you and SciQua.

10.2 No Service Level Agreement (SLA) Guarantee

SciQua makes no guarantees about service uptime, availability, response time, or uninterrupted access. While we strive to ensure stable performance and infrastructure, you understand and agree that:

  • The Services may be unavailable due to scheduled maintenance, upgrades, system failures, or network disruptions;

  • Simulations, strategy tools, data feeds, and third-party integrations may fail, experience latency, or return inaccurate results;

  • Access to certain features may be delayed, suspended, or discontinued at any time.

No service level agreement (SLA) applies to any user unless explicitly provided under a separate written contract signed by both parties.


11. Indemnification

You agree to defend, indemnify, and hold harmless SciQua, its founders, affiliates, employees, contractors, service providers, partners, and licensors from and against any and all claims, liabilities, damages, losses, judgments, demands, awards, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of or access to the Services;

  • Your violation of these Terms or any applicable law or regulation;

  • Your infringement or misappropriation of any intellectual property or other rights of any person or entity;

  • Any content, strategy, signal, or model you post, upload, share, or distribute through the Services;

  • Any trading activity or investment decision based on information obtained from the Platform;

  • Any dispute between you and another user or third party in connection with the Services.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defenses.

This indemnification obligation survives the termination of your account or these Terms and applies to your heirs, executors, successors, and assigns.


12. Termination and Suspension

12.1 Termination by You

You may terminate your account and discontinue use of the Services at any time by following the instructions in your account settings or contacting support. Termination will take effect at the end of your current billing period unless otherwise specified.

Please note that termination does not entitle you to a refund of any fees already paid, except where required by law or explicitly granted under a separate agreement.

12.2 Termination or Suspension by SciQua

We reserve the right, at our sole discretion and without prior notice, to suspend, restrict, or terminate your access to any or all parts of the Services if:

  • You violate these Terms or any applicable law;

  • You engage in conduct that we believe is fraudulent, abusive, harmful, or disruptive;

  • Your account is inactive for a prolonged period;

  • We are required to do so by law or regulation;

  • Continuing to provide you access would expose us to legal risk or liability.

We may also suspend or terminate access for routine maintenance, updates, or platform discontinuation.

12.3 Effect of Termination

Upon termination:

  • Your access to premium features and gated content will be revoked;

  • We may retain your account data and activity records for compliance, analytics, or recordkeeping purposes, in accordance with our Privacy Policy;

  • Any rights or licenses granted to you under these Terms will terminate, except for provisions that by their nature are intended to survive (e.g., disclaimers, indemnification, limitations of liability, and dispute resolution).

SciQua shall not be liable to you or any third party for termination of your access or for the deletion of any content, data, or user-generated material.


13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

If you access the Services from outside the United States, you agree that North Carolina law governs your relationship with SciQua, but that the dispute resolution procedure may vary as described below.

13.2 Binding Arbitration – U.S. Residents

If you are domiciled in the United States, any dispute or claim relating to these Terms or the Services shall be resolved exclusively by final and binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA).

  • Arbitration shall take place in Raleigh, North Carolina, unless otherwise agreed;

  • A single arbitrator shall be appointed;

  • The arbitration shall be conducted in English;

  • Judgment on the award may be entered in any court of competent jurisdiction.

13.3 Binding Arbitration – Non-U.S. Residents

If you are domiciled outside the United States, you agree that any dispute or claim shall be finally resolved through binding arbitration under the rules of the International Chamber of Commerce (ICC) or the United Nations Commission on International Trade Law (UNCITRAL), as determined by SciQua.

  • The seat of arbitration shall be a neutral international venue (e.g., London, Paris, or Singapore), selected at SciQua’s discretion;

  • The arbitration shall be conducted in English by a single arbitrator;

  • The arbitration award shall be final and binding on both parties and enforceable in any court with jurisdiction.

13.4 Class Action and Jury Waiver

To the fullest extent permitted by law, you agree to waive:

  • Any right to a trial by jury;

  • Any right to participate in a class action, class arbitration, or representative proceeding.

You agree that disputes with SciQua must be resolved individually and not collectively.

13.5 Injunctive and Equitable Relief

Notwithstanding the above, either party may seek injunctive, interim, or equitable relief in a court of competent jurisdiction to prevent unauthorized use or disclosure of its intellectual property or confidential information.

13.6 Time Limit to Bring Claims

Any claim or cause of action you may have arising out of or related to the Services or these Terms must be filed within one (1) year after the claim arose. Otherwise, the claim is permanently barred.


14. Changes to These Terms

14.1 Right to Modify

SciQua reserves the right to modify, update, or replace these Terms at any time, in whole or in part, at our sole discretion. Changes may reflect legal, regulatory, technical, or business developments, including changes to our Services or pricing structure.

We will notify users of material changes by one or more of the following:

  • Posting an updated version on our website with a new effective date;

  • Sending notice via email to your registered email address;

  • Displaying a notice upon your next login or visit to the Platform.

14.2 Acceptance of Changes

By continuing to access or use the Services after any changes become effective, you agree to be bound by the revised Terms.

If you do not agree to the updated Terms, you must discontinue use of the Services and cancel your account prior to the effective date of the changes.

14.3 Historical Versions

SciQua may maintain a history of previous versions of these Terms for reference, but is under no obligation to do so unless required by law.


15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our [Privacy Policy], any posted policies or rules, and any service-specific terms (if applicable), constitute the entire agreement between you and SciQua regarding your use of the Services, and supersede all prior or contemporaneous understandings, communications, or agreements (written or oral) between the parties.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall remain in full force and effect. Any unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the original intent.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless in writing and signed by an authorized representative of SciQua.

15.4 Assignment

You may not assign, delegate, or transfer your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is null and void. SciQua may freely assign or transfer these Terms without restriction.

15.5 Force Majeure

SciQua shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, labor strikes, power failures, internet outages, or acts of civil or military authorities.

15.6 Relationship of the Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between you and SciQua. Neither party has authority to bind the other or incur obligations on its behalf.
